Terms of Use

1. Acceptance of Terms

Welcome to LedesFix, a service provided by Cubist Labs LLC (“LedesFix,” “we,” or “us”) that turns a law firm’s billing spreadsheet into a LEDES 1998B file for e-billing portals. These Terms of Use (“Terms”) govern your access to and use of the Service, including the website at ledesfix.com, the LedesFix web application, and all related features.

By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Service.

You represent that you are at least 18 years old and legally capable of entering into a binding agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Description of the Service

LedesFix converts a billing spreadsheet you upload into a LEDES 1998B invoice file. The Service may use AI models from third-party providers to read a spreadsheet whose layout it does not already know (see Section 8 and our Privacy Policy). You review the invoice, download the file, and submit it to your client’s e-billing portal yourself. The Service does not submit anything to a portal.

3. Account Registration and Security

You need an account to use LedesFix. When registering and using the Service, you agree to the following:

  • Accurate Information. You will ensure that the information associated with your account (name, email) is accurate and current.
  • Account Security. You are responsible for maintaining the security of the account you sign in with.
  • Responsibility for Use. You are responsible for all activities that occur through LedesFix in your account. If you notice any unauthorized activity, you must notify us immediately at support@ledesfix.com.

4. Your Responsibilities

The Service prepares your invoice file, but the invoice is yours. You are responsible for the accuracy and completeness of the billing data and identifiers you provide, for reviewing each invoice before you submit it, and for what you submit to your client’s portal. You represent that you have the rights and permissions necessary to submit that data and to authorize its processing under these Terms.

5. Confidentiality

We treat everything in your spreadsheets and client profiles as your confidential information and use it only to provide the Service. We understand that you have duties of confidentiality to your clients. We do not sell your data, use it for advertising, or use it to train AI models. Our Privacy Policy describes what we collect, who processes it for us, and how long we keep it.

6. Acceptable Use Policy

By using LedesFix, you agree that you will NOT:

  • Use the Service for any unlawful, illegal, or fraudulent activities.
  • Use the Service to infringe or misappropriate the intellectual property, privacy, or other rights of any person or entity.
  • Use the Service in violation of applicable export control, sanctions, or trade laws.
  • Attempt to gain unauthorized access to any system, account, or data related to the Service.
  • Use the Service to create, store, or distribute content that is false, misleading, defamatory, obscene, or that promotes hate, violence, or illegal activities.
  • Use the Service to create or distribute phishing content, malware, or deceptive impersonations.
  • Interfere with, disrupt, or degrade the Service, including by introducing harmful code, abusing automation, or imposing unreasonable load.
  • Attempt to bypass or circumvent any usage limits or security features.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Service. We may investigate suspected violations, suspend or terminate access, and cooperate with law enforcement or regulators where appropriate.

7. Intellectual Property

  • Our Property. The Service, including its design, software, algorithms, and documentation, is owned by Cubist Labs LLC and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.
  • Your Data. As between you and us, you retain your rights in the data you submit and own the invoice files the Service produces for you. By using the Service, you grant Cubist Labs LLC a limited, non-exclusive license to use that content as necessary to provide the Service.
  • Usage Data. We may collect, compile, and use aggregated and de-identified usage data (such as feature usage patterns and performance metrics) that does not identify you. We own all rights to such usage data.
  • Feedback. If you provide feedback or suggestions about the Service, you agree that we may use such feedback without obligation to compensate you.

8. AI-Generated Content and Disclaimers

The Service may use AI to read spreadsheets whose layout it does not already know. You should understand the following:

  • AI output may be imperfect. The AI’s reading of your spreadsheet may be incorrect or incomplete.
  • Not legal advice. LedesFix is not a law firm and does not give legal advice. Using the Service does not create an attorney-client relationship. Your professional judgments stay yours: what to bill, how to describe work, whether an entry complies with your client’s guidelines, and which codes are right.
  • User responsibility. You are responsible for reviewing the invoice before you download it and for what you submit to your client’s portal.

9. Disclaimer of Warranties

THE SERVICE (INCLUDING ALL CONTENT, FEATURES, AND AI CAPABILITIES) IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

WE ARE NOT RESPONSIBLE FOR YOUR CLIENT’S E-BILLING PORTAL, ITS RULES, OR ITS DECISIONS. A PORTAL’S REQUIREMENTS MAY CHANGE.

Some jurisdictions do not allow certain warranty exclusions. In such jurisdictions, the exclusions in these Terms apply only to the maximum extent permitted by applicable law.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CUBIST LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • A file your client’s portal rejects
  • A client’s decision to reduce, dispute, delay, or not pay an invoice
  • Errors in an invoice you reviewed and downloaded
  • Lost profits, revenue, or business opportunities
  • Loss of data or unauthorized access to information
  • Service interruptions or downtime

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID TO US BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF YOU HAVE NOT PAID US, $0).

MULTIPLE CLAIMS WILL NOT EXPAND THESE LIMITATIONS. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IF ANY REMEDY SPECIFIED IN THESE TERMS IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cubist Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from:

  • The billing data and other content you submit
  • Your violation of these Terms or any applicable law
  • Your infringement of another person’s rights

12. Termination

  • By you. You may stop using the Service at any time by contacting us at support@ledesfix.com to close your account.
  • By us. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe that you have violated these Terms, you pose a security or legal risk to the Service or other users, or we decide to discontinue the Service. We will provide reasonable notice when possible.
  • Effect of termination. Upon termination, your right to access the Service ceases immediately. We will delete your data in accordance with our Privacy Policy (within 90 days of account closure). Sections 5, 7, 8, 9, 10, 11, 13, 14, and 16 survive termination.

13. Dispute Resolution and Arbitration

If you have a concern, please contact us first at support@ledesfix.com so we can try to resolve it informally. If we cannot resolve a dispute informally within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in King County, Washington. Each party will bear its own costs, and the arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.

Class action waiver. You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in court for intellectual property misuse, unauthorized access, or confidentiality violations.

If any portion of this arbitration provision is found unenforceable, the remaining portions will remain in effect to the maximum extent permitted by law.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Except for disputes subject to arbitration under Section 13, any disputes shall be subject to the exclusive jurisdiction of the federal and state courts in Seattle, Washington.

15. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, internet or telecommunications failures, or cyberattacks.

16. General Provisions

  • Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cubist Labs LLC regarding the Service and supersede any prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No agency. No joint venture, partnership, employment, or agency relationship exists between you and Cubist Labs LLC as a result of these Terms.
  • No third-party beneficiaries. Your clients are not third-party beneficiaries of these Terms.
  • Electronic notice. Electronic communications (including email) satisfy any requirements that notice under these Terms be in writing.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. By continuing to use the Service after updated Terms take effect, you accept and agree to the changes.
